These Terms of Service ("Terms") govern your use of the website and services provided by Top Tier Advisory (Pty) Ltd ("we", "us", "our"), a company registered in South Africa. By accessing our website or engaging our services, you agree to be bound by these Terms.
Top Tier Advisory provides strategic advisory services to startups and growth companies. Our services include, but are not limited to, financial modelling, pitch deck creation, business valuations, data room preparation, and corporate governance advisory.
Our services are advisory in nature. Nothing we provide constitutes legal advice, accounting advice, tax advice, or regulated financial advice. We are not a law firm, accounting practice, or licensed financial services provider. You should consult appropriately qualified professionals for legal, tax, accounting, or regulated financial matters.
Specific terms of engagement -- including scope, deliverables, timelines, and fees -- are agreed separately for each project via a written proposal or engagement letter. These Terms apply in addition to any project-specific agreement. In the event of a conflict, the project-specific agreement takes precedence.
We reserve the right to decline any engagement at our discretion.
Deliverables: Upon receipt of full payment for a completed project, all intellectual property rights in the deliverables produced for that project transfer to the client. Until full payment is received, all deliverables remain the intellectual property of Top Tier Advisory (Pty) Ltd.
Templates and frameworks: Our proprietary templates, frameworks, methodologies, and tools (including but not limited to model architectures, deck structures, and valuation frameworks) remain the intellectual property of Top Tier Advisory at all times. Clients receive the output of these tools, not the tools themselves.
Portfolio use: We may reference the fact that we have worked with a client and display anonymised or non-confidential examples of our work in our portfolio, unless the client explicitly requests otherwise in writing.

We rely on the accuracy of information you provide. We are not responsible for errors in deliverables caused by inaccurate, incomplete, or misleading input.
To the maximum extent permitted by law:
Our deliverables are tools to support your decision-making. The decisions themselves, and their outcomes, remain your responsibility.
We treat all client information as confidential. We will not disclose your proprietary business information to third parties without your consent, except where required by law. This obligation survives the termination of any engagement.
Payment terms are specified in the project-specific engagement letter or proposal. Unless otherwise agreed, invoices are due within 7 days of issue. We reserve the right to pause or suspend work on any project where payment is overdue.
Either party may terminate an engagement by providing written notice in accordance with the terms of the project-specific agreement. In the event of termination, fees for work completed up to the date of termination remain payable. Deliverables for paid work will be provided; deliverables for unpaid work will not be released.
